B:Yes and no.We will certainly pay for the impoded technology.But you know that the duration of the joint venture could be as long as 15 years.We are living in an era of fierce competition.Technology is advancing all the time.If you transfer only the existing knowhow,this company's technology would soon become obsolete.We expect that for the duration of the joint venture you continue offering us your improved technological expertise.And that shall be offered without extra charges.
A:No,we can't go that far.You certainly realize that technology has a price tag.We spend hundreds of thousands of U.S.dollars on scientific research even/ year.How could the achievements of our future research be committed to this agreement?
B:BoIh you and our company should consider ourselves as partners.Isn't this a joint venture? The higher the technology,the better the produds and the greater the competitiveness.Your share is 45% of the registered capital of the joint venture.That means nearly half of the profit would go to you.
A：當然不僅僅是指工業產權，也包括專有技術。
B：同意，但是我方承諾轉讓給合資企業的專有技術是目前我方在生產當中正在使用的。
A：除了一定數額的入門費，貴方還得支付提成費，是吧？
B：是，也不是。我方當然會支付引進技術的費用。但是你們知道，合資企業的續存時間可長達15年，我們現在正處于競爭激烈的時代，技術是在一直不斷地更新的，如果貴方只是轉讓現有的專有技術，該企業的技術很快就會過時。所以我方期待在合資企業續存期間，貴方會繼續向我方提供你們們不斷改進的技術方面的專門知識。不應該再另外收費。
A：不行，這個我辦不到。貴方一定要意識到，技術是有價的，我方每年要投入成千上萬美元搞科研，我方未來的研究成果怎么能夠歸屬于這個協議呢？
B：你和我們公司應該考慮到我們是合作伙伴，這不是合資企業嗎？技術越高，產品也就越好，競爭性也就越強。你們的股份占了合資企業注冊資金的45％，也就是說，將近一半的利潤會是你們的。
